The Grace Galleries Premier Art Collective / GGLB GALLERY- 6 month Agreement
Concept: The Grace Galleries Premier Art Collective (the Gallery) has supported the local art community since opening in May 2020. The gallery has quickly gained a reputation as being very different than other galleries in the sense of buzzing atmosphere, welcoming and accepting demeanor, diverse audience and artists, and for its social media presence. All of this has coalesced to create national awareness for the gallery and in the community. Recently, a Kansas-based collector who is establishing an art museum, purchased the entire Grace Galleries international collection. This sale opens a new opportunity for the gallery to support the local art community by creating a high-end platform for a select artist group to enjoy the teamwork and comradery in gaining exposure at the best location in the city. This contract spells out the details of this agreement. It is a legally binding document that clarifies all Terms and Conditions around Tenancy, Consignment, and Hosting. Please review it carefully as it delineates certain obligations and rights to the participating Artist. 1.Tenancy:
By making the initial payment, Artist is agreeing to a 3 month tenancy at The Grace Galleries Art Collective. All payments are to be made by direct bank transfer monthly, zelle, or online on our website on the first of each month or their start date reflected on contract. The tenancy cost is $350 per month, payable in advance each month. a. Each Artist must submit a single page Bio of themselves in Word format. The Gallery will professionally print, laminate, and post this Bio in each Artist's section. The Gallery may modify the text/formatting of the Bio to make it aesthetically consistent with other Bios.
b. In exchange for their Tenancy fee, the Artist will be assigned a wall space of approximately 5’ wide by 11’ high (floor to ceiling), however, the size of the space may reasonably vary depending on available space and gallery location. Artists will be allowed input as to which available space they would like, however, the Gallery reserves the ultimate right to curate the space. This will be openly communicated with each Artist.
c. The Gallery will initially, professionally hang the artwork. All works shall be provided in a “ready to hang” state complete with sturdy hanging wires secured on the back of the piece. There will be a charge of $50 for each "non-strung" artwork left by the Artist (art not 100% ready to hang, complete with wires, is considered "non-strung".) Wall hanging wires and accessories will be provided by the Gallery at their cost. The Gallery has no liability for artworks which are not properly strung or secured, or are too heavy to be hung as provided by the Artist.
d. The Artist and the Curator will agree on the art to be initially hung in the space. When a piece sells, the Artist and Curator will discuss replacing the sold piece. Besides the sale of a work of art, the art shall not be changed out during the tenancy period unless custom agreement is made with the Owner/Curator.
e. Tenancy payments must be done via automatic bank transfer unless other specific arrangements are made with the Owner/Curator. Late payments are subject to a 2% per day late fee on the monthly amount. The Owner/Curator reserves the right to cancel any agreement if a payment is more than 14 days delayed, and in such circumstance keep the deposit. (Refer to Clause 5c, below.) The Artist shall be liable for any extra fees if paying by a service that charges fees. h. Notice Period and Renewal. Each Artist is required to give at least a 30-day notice in writing (email accepted as long as confirmation of receipt is returned) on whether or not they would like to renew their agreement at the pending existing set of terms under a new contract. This contract auto-renews at the then existing contract rate for an additional 6-month term should this notice period lapse without written communication. h. Cancellation and Renewal. The Owner/Curator retains the right to ask an Artist not to renew at the end of their Tenancy, for any reason whatsoever. In this event, the Artist will be given 30-day notice.
2.Sales, Tax, and Shipping:
a. Any Artist works sold at the Gallery will subject to a 50/20/30 split of sales revenue. 50% of the sales price for the piece goes to the Artist who made the piece (the Selling Artist), 20% goes to the whomever made the sale on the day (the Hosting Artist), and 30% plus the sales tax goes to the Gallery. The Gallery shall be responsible for turning in tax receipts and paying tax to the proper authorities. Payments shall be made from the Gallery to the Selling Artist and Hosting Artist generally within 10 days of a painting sale, via either direct bank transfer or company check.
b. Prices of pieces can be established by each Artist. The Gallery will provide price guidance if desired. Each Artist shall offer their prices with a “cushion” of 20% in order to allow Hosting Artists to negotiate price within reason on their behalf. A specific example of this is: A work is represented to be sold for $1000, which means that the Hosting Artist may sell this piece for as low as $800 (plus any applicable tax and shipping). Should the price need further negotiation beyond the 20%, a phone call to the Artist is required for approval. Clearly, the goal of each Host is to sell as many pieces as possible for the listed price.
c. Artists (both Selling and Hosting) shall be responsible for reporting their income and filing taxes on their own. The Gallery is legally obligated to provide a 1099 on sales for individuals.
d. Many artworks are sold to out-of-state buyers. If a painting is shipped out-of-state, no sales tax is due. However, packing and shipping costs can be quite high. The customer shall have responsibility for these costs. Smaller paintings (dimensionally smaller than 30” x 24”) require a packing/shipping charge of $130 to ship. Because of UPS/Fedex dimensional charges, larger paintings (up to approximately 40" x 60" cost $300 to ship. Shipping payments can be made at the time of purchase and simply added to the purchase cost; or, should the customer want an exact amount, these payments can be made upon shipment of the work where a shipping receipt will be provided. In this case, the customer can pay the Gallery directly via Paypal, Zelle, bank transfer, or personal check. Multiple paintings or larger paintings (generally larger than 40"x 60") will need to be crated and shipped via truck freight and must be quoted at the time of purchase.
e. When an artwork is sold, it must be removed from the wall to give or ship to the customer. In signing this agreement, all Artists consent to allow others to remove their art from the wall, which is agreed will be undertaken with due care. Should an artwork not be able to be removed immediately (due to size, weight, or other constraints), the Hosting Artist agrees to work with the customer and the Selling Artist to ensure the piece is reasonably and carefully removed from the wall.
f. All artworks are sent with a tracking number which will be provided to the customer, and all works are sent fully insured for the purchase value.
g. The Gallery will take responsibility to pack and ship all artwork sold unless other arrangements are made between the Owner/Curator and a Hosting or Selling Artist.
h. The Gallery reserves the right to display Gallery-owned art in any open spaces. Shall Gallery-owned art be sold by the Hosting Artist, the split shall be 80/20, meaning that 80% of the proceeds shall go to the Gallery and 20% shall go to the Hosting Artist who sells the piece. The same tax situation shall be used as in the above example.
3.Marketing and Promotion:
a. The Gallery retains any and all rights to market the business offline and online. Artists are expected to continue to promote their own work. The Gallery will also promote all artists on display via social media and on the Gallery website. By signing this agreement, you are consenting to the Gallery using your likeness and your art to promote you to the best of their ability, and in a professional manner. You are also agreeing to grant the Gallery access to your social media and use this to professionally promote the Gallery and yourself. Artists are encouraged to promote the Gallery and use the name and likeness of the Gallery also, likewise in a professional manner.
b. Artists are allowed to take photos and videos, and to make posts of themselves in the Gallery or with artworks from the Gallery, however, the image of The Grace Galleries should never be compromised and always be considered. All posts or promotions should always be kept in the spirit of the Gallery image.
c. The image of the Gallery is the sole property of The Grace Galleries, and Genco Alp has the ultimate authority on how the Gallery is represented. Should an Artist consistently compromise the image of the Gallery, the Owner/Curator reserves the unilateral right to cancel the agreement at any time and keep the deposit.
5.Liability and Other Terms and Conditions:
a. Each Artist accepts all liability for his/her artwork in case of any damage, theft, inclement and/or sunny weather, or other unforeseen situation, releasing The Grace Galleries of every liability in the event of loss or damage to artworks, and any liability of injury or illness while at the Gallery, no matter the cause, and whether or not the Gallery retains insurance or whether that insurance may cover a work of art or personal liability. The Gallery will take the utmost care at every possible instance, however, this clause includes any accidental damage that may occur when storing or hanging the art, or damage done to art by customers during the course of a visit, including any damage occurring at the monthly event. Each Artist should carry desired insurance on their artworks as any Gallery insurance will not apply to individual pieces.
b. Artists are not employees of the Gallery. There are no employee/employer rights for either party.
c. In the event of non-payment by the Artist, or any late payment of more than 14 days, the Gallery has the right to remove the Artist’s work from the Gallery, keep the Artist’s artworks which were on display or stored at the Gallery, keep the 4 week-advance deposit, and release the space to another Artist.
d. The Owner/Curator has the unilateral right to cancel this agreement should an Artist display behavior that a reasonable person might consider unbefitting of the Gallery and the Team of Artists at the Gallery. Such examples could include dishonesty, substance abuse while hosting, abusive or otherwise rude behavior or disrespectful communication to teammates or customers, or negligence in their actions while at the Gallery (such as leaving a door unlocked when leaving a shift, consistently not following hosting instructions, etc.). In this case, the Gallery would remove and arrange for pick-up of the offending party’s art and keep the Artist's deposit.
e. To avoid confusion, Gallery keys shall be locked back in the lockbox after opening, and locked back into the lockbox by the Artist closing the Gallery. This ensures that the Gallery is properly secured each evening. In the event of loss, the Artist last in the Gallery is responsible for replacing the keys prior to the next opening of the Gallery. f. In the event of a change of ownership of the gallery, this agreement, and all Terms and Conditions herein, shall transfer to the new ownership, whether under The Grace Galleries LLC or a different named company or individual.
g. All agreements regarding Tenancy and Consignment are encompassed within this document. No verbal agreements apply, and any variation or addition to this agreement shall be in writing. Email or text is accepted provided consent is given by both parties.
h. Should any part of this agreement be determined unlawful, all other statements shall remain valid.
